Terms of Service

Effective Date: September 9, 2025

1. Introduction

Welcome to Sixteen:Eighteen Consulting, LLC (“we,” “us,” “our”). These Terms of Service (“Terms”) govern your use of our consulting, digital strategy, website-building, and related services (collectively, the “Services”). By engaging our Services or accessing our website at www.1618consulting.com (the “Site”), you agree to these Terms.

2. Acceptance of Terms

1. You must be at least 18 years old and authorized to enter into a binding contract with us.
2. Your purchase of Services or continued use constitutes acceptance of these Terms and any updates we post.

3. Our Services

We offer churches and ministries:

• Legal compliance consulting (bylaws, governance structures)
• Digital strategy and implementation (websites, apps, live-streaming)
• Website design and hosting partnerships
• Generational planning and leadership roadmaps

All deliverables and timelines are detailed in a written proposal or statement of work (“SOW”) signed by both parties.

4. Client Obligations

To ensure a smooth engagement, you agree to:

• Provide accurate information and timely feedback
• Supply all necessary content, logos, credentials, and approvals
• Maintain your domain registrations, third-party accounts, and hosting subscriptions (unless otherwise agreed)
• Attend scheduled meetings (via Zoom or in person) and respond within agreed timeframes

Delays in your inputs may extend project timelines and incur additional fees.

5. Fees & Payment

1. Fees are set forth in the SOW or proposal.
2. We invoice 50% upon project kickoff; 50% upon delivery of final assets (unless otherwise specified).
3. Payment is due within 15 days of invoice date. Late payments incur a 1.5% monthly interest.
4. Ongoing support or hosting retains a monthly or annual fee as outlined in the SOW.

6. Partner Products & Discounts

When we integrate third-party platforms (e.g., FaithConnector, Zoom):

• We act as your reseller or authorized implementer.
• You will be billed by us; we in turn pay our partner, applying a predetermined partner discount.
• We display partner logos and co-branding only with their permission.
• We do not compete with our partners or promote alternative platforms during the agreed term.

7. Intellectual Property

1. You retain ownership of your pre-existing content, trademarks, and data.
2. We grant you a royalty-free, worldwide license to all deliverables once full payment is received.
3. We retain ownership of our proprietary methodologies, templates, and materials, but grant you a perpetual, non-exclusive license for your internal use.

8. Confidentiality

Each party agrees to keep the other’s proprietary information confidential and to use it solely for performance of these Terms.

9. Warranty Disclaimer

We strive for excellence, but:

• Services are provided “as is” without warranties of merchantability or fitness for a particular purpose.
• We cannot guarantee uninterrupted service or specific outcomes.

10. Limitation of Liability

To the fullest extent permitted by law:

• Neither party is liable for indirect, incidental, or consequential damages.
• Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold us harmless from any third-party claims arising out of your misuse of the Services or breach of these Terms.

12. Term & Termination

1. Term begins on the Effective Date of your SOW and continues until completion or termination.
2. Either party may terminate for cause if the other materially breaches these Terms and fails to cure within 15 days’ written notice.
3. Upon termination, you pay for all work performed up to the termination date, and we return your data.

13. Governing Law

These Terms are governed by the laws of South Carolina, without regard to conflict-of-law principles. Any dispute will be adjudicated in the state or federal courts located in Richland County, South Carolina.

14. Changes to Terms

We may update these Terms at any time. We will post the revised date at the top and notify you if you have an active engagement. Continued use after updates constitutes acceptance.
